Terms & Conditions of Sale
1. Scope
These Terms and Conditions of Sale ("T&Cs") apply to all offers, orders, sales, deliveries, and services provided by ALLPARA AG ("ALLPARA") to professional and business customers, unless expressly agreed otherwise in writing. ALLPARA sells exclusively to verified healthcare professionals, clinics and authorised distributors (B2B); these T&Cs are not directed at consumers. Any conflicting, deviating, or additional terms of the customer are expressly excluded.
2. Products and Services
ALLPARA operates in the field of medical aesthetics, medical devices, cosmetic products, and related services. Product descriptions, technical specifications, and documentation are provided for informational purposes only and may be amended at any time without prior notice. Products are intended for professional use only and must be used by appropriately qualified persons.
3. Orders and Contract Formation
A contract is formed only upon written order confirmation by ALLPARA or upon dispatch of the goods. ALLPARA reserves the right to refuse orders, in whole or in part, without stating reasons.
4. Prices
All prices are quoted in the currency specified in the order confirmation and are exclusive of VAT, customs duties, import/export charges, logistics costs, insurance, and any other applicable taxes or levies, unless explicitly stated otherwise in writing.
5. Payment Terms
Invoices are payable strictly according to the payment terms stated on the invoice. In the event of late payment, statutory default interest, reminder fees, and collection costs may apply. ALLPARA reserves the right to suspend deliveries or services in case of outstanding payments. The customer may not set off, deduct or withhold any amount unless its counterclaim is undisputed or has been finally adjudicated.
6. Delivery, Incoterms® and Transfer of Risk (EXW)
Unless expressly agreed otherwise in writing, all deliveries are made Ex Works (EXW), Incoterms® 2020, at the registered office, warehouse, or other designated dispatch location of ALLPARA. Risk of loss, damage, delay, or deterioration passes to the customer at the moment the goods are made available for collection, irrespective of whether loading assistance is provided. The customer bears all costs, responsibilities, and risks relating to transport, export formalities, customs clearance, duties, taxes, insurance, and compliance with applicable import and regulatory requirements. Any logistical, customs, or transport assistance provided by ALLPARA is rendered solely as a service and does not alter the agreed Incoterms® or transfer of risk.
7. Inspection, Defects and Returns
The customer must inspect the goods immediately upon receipt and notify ALLPARA in writing of any visible defect, shortage, or transport damage within seven (7) days of delivery, and of any hidden defect within seven (7) days of discovery. Goods are sold without a right of return except where defective; returns require prior written authorisation (RMA) from ALLPARA. Perishable, temperature-sensitive, or opened products cannot be returned unless defective.
8. Retention of Title
All delivered goods remain the exclusive property of ALLPARA until full settlement of all outstanding claims arising from the business relationship.
9. Warranty and Liability
Warranty claims are limited to mandatory statutory provisions. ALLPARA shall not be liable for indirect or consequential damages, loss of profit, or business interruption, except in cases of gross negligence or wilful misconduct. To the extent permitted by law, ALLPARA's total aggregate liability for any and all claims shall not exceed the purchase price paid for the relevant product(s).
10. Compliance and Regulatory Use
The customer is solely responsible for ensuring that the use, resale, importation, or distribution of the products complies with all applicable laws, regulations, professional standards, and regulatory requirements in the destination country, including any marketing authorisations and CE-marking obligations. ALLPARA makes no medical claims; clinical decisions remain the responsibility of the qualified professional.
11. Force Majeure
ALLPARA shall not be liable for any delay or failure to perform caused by events beyond its reasonable control, including acts of God, war, epidemic, supply-chain disruption, transport or customs delays, regulatory action, or shortage of goods.
12. Data Protection (Privacy Notice)
ALLPARA AG is the data controller and processes personal data in accordance with the Swiss Federal Act on Data Protection (nFADP) and, where applicable, the EU GDPR.
Data processed: identification and contact details, professional credentials, and commercial, contractual, transactional and logistical information. Purposes & legal basis: performance of the contract, compliance with legal and regulatory obligations, and ALLPARA's legitimate interests in operating, securing and improving its business and supply chain. Sharing: data may be shared with logistics, customs, payment and professional service providers on a need-to-know basis under confidentiality and data-protection safeguards. International transfers: where data is transferred outside Switzerland or the EEA, appropriate safeguards (e.g. standard contractual clauses) are applied. Retention: data is kept only as long as needed for the purposes above and applicable legal retention periods. Your rights: you may access, rectify, erase, restrict or object to processing, and request portability, by emailing [email protected]. You also have the right to lodge a complaint with the competent supervisory authority (the Swiss FDPIC or your local EU data-protection authority).
Data flows and operational transparency: to ensure operational integrity, supply-chain reliability, and regulatory traceability, certain transactional and logistical data elements may be subject to structured processing, reconciliation, correlation, and analytical verification across interconnected systems. Such processing may include the alignment of shipment events, movement and location references, delivery confirmations, and compliance indicators. These mechanisms are implemented exclusively to support lawful business operations and compliance obligations.
13. Shipping, Logistics and Traceability
ALLPARA works with professional logistics, customs and compliance partners to ensure secure, compliant, and efficient shipment handling.
For quality assurance, regulatory compliance, and dispute prevention, shipments may be subject to systematic referencing, validation, and status alignment across logistics and operational systems.
ALLPARA maintains internal mechanisms enabling verification of shipment-lifecycle events, including dispatch, transit, customs processing, movement and location references, and delivery milestones. These mechanisms support contractual performance, compliance obligations, and internal controls.
By placing an order, the customer acknowledges and accepts that such operational processes form an integral part of ALLPARA's service framework.
14. Governing Law and Jurisdiction
These T&Cs are governed exclusively by Swiss law. The exclusive place of jurisdiction is Basel-Stadt, Switzerland.
15. General
If any provision is held invalid, the remainder shall remain in effect. These T&Cs constitute the entire agreement on their subject matter. The customer may not assign the contract without ALLPARA's written consent. No failure to enforce a right constitutes a waiver. The English version prevails. ALLPARA may amend these terms at any time; the version published on the website shall prevail.
